1. Introduction

Our platform facilitates a unique connection, enabling brands to effortlessly publish and manage their content across the social media profiles of their associated sales outlets.

This document, the Terms and Conditions ("Terms"), serves as a legal agreement between Dimboo ("we", "us", or "our") and you, the user ("you", "your"). By accessing, registering, or using any part of our platform and its services, you agree to be bound by these Terms. It is imperative that you read these Terms carefully as they outline your legal rights and obligations with respect to your use of our platform.

Our platform is tailored to foster a collaborative digital environment, enhancing brand presence and engagement through strategic social media content management. We reserve the right to update or change these Terms at any time, and your continued use of the platform after any such changes constitutes your acceptance of the new Terms.

2. Definitions

In this document, the following terms shall have the meanings ascribed to them below. These definitions are crucial for understanding the rights, obligations, and procedures outlined in our Terms and Conditions:

"Platform" refers to Dimboo, including all related services, features, content, and applications offered by us.
"User" or "You" means any individual or entity that accesses, browses, or uses the Platform in any manner. This includes visitors, registered users, and any other persons who interact with our services. In Dimboo we can have:

“Brand users”: User created on behalf of a brand that will be managing and scheduling publications proposals for one or several Points of Sales.
“Point of sales Users”: User created on behalf of a Point of Sales to manage the publications proposals received by the Brands.

"Content" encompasses all forms of data, text, information, images, graphics, audio, video, and other materials submitted, posted, published, or otherwise made available through the Platform by Users or by us.
"Service" or "Services" refer to the various functionalities, features, tools, and services provided through the Platform to the Users.
"Brand" refers to any business, company, or entity that uses the Platform to publish and manage content on their points of sale’s social media profiles.
"Point of Sale" or "POS" denotes the physical or digital retail outlets associated with a Brand that are registered on the Platform to receive and display the Brand’s content on their social media profiles.
"Account" means the personalized access provided to Users that enables them to use and interact with the Platform and its Services.
"Third-Party Services" refers to services, resources, or content provided by parties other than Dimboo, which may be accessible or used in conjunction with the Platform.

This list is not exhaustive and is provided for clarity. Additional terms will be defined as they are used within the text of these Terms and Conditions.

3. Usage Terms & Conditions of Dimboo

3.1 Operational aspects of Dimboo

Dimboo, supported by technology partners, uses public APIs to facilitate linking to social medias. It is important to note that:

Social medias may modify or suspend their APIs, which could affect the service.
For security reasons, social medias passwords are not stored; instead, an access token is used. These access tokens may be disabled for various circumstances, such as:

The access token being invalidated after a period of time of expiration in accordance with the policy of each social media;
The User has changed the passwords of his social network and/or has removed the authorization to access the platform through his social media;
For other reasons determined by the social media;

The User may reconnect his social media profiles at any time and renew the access token through the connections section of the platform.

3.2 Accessing Dimboo

To access Dimboo, each User shall have a non-exclusive, non-transferable and revocable license and/or authorization to use the Platform, thanks to which he/she may access his/her Personal Area with specific and personal credentials through the website https://app.dimboo.io/login, without the need to download any Software, using the platform directly in the cloud with any web browser on the market.

The responsibility for the security and confidentiality of these credentials ("Username" and "Password") lies entirely with the User. Consequently, any damage caused by the misuse of these will be the User's responsibility. The User agrees to:

Immediately report any loss or misuse of his/her credentials.
Renew your password using the password recovery system when you are suspicious, forget your password or simply want to update it.
Ensure that the information provided is always up to date and truthful.

The User, identified by the information provided in his registration, and authorized as responsible for the use of the platform, may only use the Service after having reviewed and explicitly accepted these Terms and Conditions.

3.3 Rights and obligations in the use of Dimboo platform

It is important to mention that Dimboo platform is designed for purely commercial and professional purposes, so every User agrees to use Dimboo platform strictly within the framework of their professional activities and associated needs.

Dimboo, under the rights and obligations of use set forth herein, shall grant the User the right to use the platform accessible via the Internet and designed to manage digital content on various social channels of its establishments, as well as its associated complementary functions.

The User undertakes to:

Inform Dimboo immediately of any theft, loss or improper acquisition of its access credentials to the platform (Username and/or Password) by third parties.
Provide detailed, truthful and accurate data during the registration process and during the period of use of the platform.

The user is strictly prohibited from:

Evade or alter the process of access or authentication to Dimboo platform.
Decode, disassemble or attempt to know the source code or algorithms of Dimboo platform or any part of it.
Modify or develop variants based on Dimboo platform.
Use hidden links, data mining tools, robots, crawlers or any automatic tool, program or method, or similar manual process, to access, obtain, copy or monitor portions of Dimboo platform and its Content.
Seek unauthorized access to systems and/or networks related to Dimboo platform, servers or services provided by Dimboo by any illegal technique.
Investigate, scan or test for vulnerabilities of Dimboo platform and/or associated networks, or breach any security measures therein.
Employ tools or methods that seek to disrupt the proper operation of Dimboo platform and/or any transaction on Dimboo platform.
Use Dimboo platform for illicit purposes and/or against the present contract.

In the event of any unauthorized use of or access to Dimboo platform, or any breach of security, the User shall immediately notify Dimboo by email at hello@dimboo.io. Dimboo's liability shall not be engaged for damages or failures resulting from unauthorized access by means of credentials assigned to the User.

4. Warranties, limitations and liabilities

4.1 General responsibilities of the Users

The User declares and accepts that all information provided to Dimboo is accurate, truthful and up to date. The user undertakes to train all additional users and/or any person having access to Dimboo platform on the obligations contained in this Agreement, ensuring that they are informed and taking all necessary measures to ensure that they are respected.

The User agrees that the use of Dimboo platform, in accordance with these Terms, is at the User's own risk and that the User therefore assumes all liability arising from such use.

Dimboo together with its staff and partners shall not be liable for the use of the platform by the User.

The obligations of the User remain in force and shall apply even after requesting the deletion of its account, and for the content published using the platform.

4.2 Responsibilities for published content

The Users are solely responsible for the material (photographic, video and textual) that they share and/or propose to the points of sales. Dimboo assumes no responsibility for this material nor for the consequences of its publication. However, Dimboo reserves the right to monitor the contents on a random basis and, in case of detection of inappropriate or illegal content, to suspend the user account.

Inappropriate content includes:

Content that violates social network policies, such as pornographic, violent, discriminatory, or hateful content.
Content that promotes illegal or fraudulent products or services.
Content that contains personal or confidential information of another person without their consent.

4.3 Issues or non-compliance due to third parties

Dimboo shall not be liable for third party incidents that adversely affect the operation of the platform, including but not limited to:

Slowdown or failure of the platform due to third party servers
Slowdown or failure of social networks
Slowdown or failure of network connections due to telephone line operators
Slowdown or failure of servers
Breakdowns, overloads or interruptions of electrical systems

Likewise, the users acknowledge and agree that certain aspects of this terms are governed by the terms and conditions of third parties such as social media providers. The users agree to be bound by and comply with such terms and conditions.

Dimboo uses API services provided publicly or privately by third party providers, to which the following terms and conditions shall apply and with which you are bound:

4.4 Non-compliance due to external factors

The supplier shall not be liable in any way for breaches of contract or for the malfunctioning of the platform or the impossibility or difficulty of its use in situations arising from external causes or force majeure beyond its control.

Force majeure is defined as:

Events beyond the reasonable control of Dimboo
Events difficult to foresee by Dimboo
Events difficult to avoid by Dimboo

These events include, but are not limited to:

Natural disasters: Earthquakes, tsunami, fires, floods, volcanic eruptions...
Health disasters: Pandemic, epidemic...
Socio-demographic disasters: Conflicts, strikes, invasions, military mobilizations, wars...
Financial events: Embargos, currency restrictions, economic sanctions on territories...
Political events: Expropriation, seizure, nationalization...

4.5 Warranties Limitation

Dimboo offers the use of its platform in its current state. The User acknowledges and understands that Dimboo platform may be subject to occasional incidents and/or interruptions.

The User acknowledges that Dimboo may receive occasional updates that include new features, changes or deletions, at Dimboo's sole discretion as to their implementation and timing and acknowledges that such updates may cause brief periods of downtime of the platform.

Neither Dimboo nor its technology partners guarantee uninterrupted access to the platform.

The User understands that any downloading or acquisition of content or services through Dimboo is at the User's own discretion and risk.

Dimboo strives to provide a robust, secure and quality professional platform in accordance with industry standards. Should any service issues arise, Dimboo’s primary responsibility is to make every effort to correct them immediately.

The User understands and accepts that the existence of such incidents or any other irregularity in the platform is not a reason to request compensation or refunds of any kind.

5. Ownership and Use Rights

5.1 Dimboo right of ownership

Dimboo owns all rights and benefits related to the Dimboo platform, as well as its Intellectual Property, including any improvements that may arise therefrom. The trademarks of Dimboo and the Dimboo® platform are registered.

Both the web portal www.dimboo.io and the Dimboo platform and its content are the exclusive property of Dimboo. Any unauthorized copying or distribution in violation of intellectual property rights is restricted.

7. Data Proceesing, Communications and Advertising

7.1 User Data Processing

Dimboo is dedicated to adhering to Spanish data protection regulations and ensures thorough compliance with the obligations outlined in these laws. This commitment includes implementing security measures as specified in the EU General Data Protection Regulation (GDPR) 2016/679 and the Spanish Law 41/2002 of November 14.

To keep users informed, Dimboo provides a comprehensive Privacy Policy detailing how user data is processed.

7.2 Platform usage data and statistics

Dimboo has all rights to the use and exploitation of statistical information and data in aggregated form, which are derived from the use of the platform by the user. The user expressly authorizes Dimboo to use them for purposes of continuous improvement of the platform and to be used in aggregate and anonymized form.

These data do not include in any case personal data of the user.

7.3 Advertising, Commercial Comunications and References

The User authorizes Dimboo to use its name and logo in business presentations, marketing materials, customer lists and financial reports.

The User agrees to receive commercial communication via mail, and periodically, related to Dimboo services.

The terms of use for these services are subject to Spanish law. However, this choice of governing law does not preclude you from claiming the protections offered by the mandatory provisions of the law in the country of your habitual residence, particularly if you are a consumer or user.
